Terms of Service

1. Introduction

Zivio ("Zivio", "Platform") is operated by Last Train to Juarez LLC, an Arizona limited liability company ("we", "us", "our").

These Terms of Service ("Terms") govern your access to and use of the Zivio platform, including artist tools, fan portals, messaging systems, analytics tools, marketing automation features, and related services (collectively, the "Services").

By accessing or using the Platform you agree to these Terms and the Privacy Policy below. You must be at least 18 years old to use Zivio.

2. Services

Zivio provides a marketing, engagement, and operational platform designed for musicians, artists, venues, and live-event professionals.

  • SMS and MMS messaging with opt-in enforcement and carrier compliance
  • Fan lead capture forms, QR codes, and public show pages
  • Fan portals with login via email or SMS verification
  • Referral links, contests, leaderboards, and fan engagement systems
  • Email marketing and automated messaging campaigns
  • Venue, festival, and radio contact directories
  • Tour routing, mileage, and travel planning tools
  • Advertising integrations including Meta (Facebook/Instagram) ad campaign tools
  • Analytics, tracking pixels, and engagement reporting
  • Affiliate links and monetization integrations
  • Financial tracking for shows, expenses, and payouts

Accounts are licensed for individual artists or organizations and may not be resold, shared, white-labeled, or operated as a third-party agency platform without written permission from Zivio.

3. Account Registration & Security

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account, including messages sent, campaigns created, contacts uploaded, and data accessed.

4. Payments & Subscriptions

Platform subscriptions are billed monthly unless otherwise stated. Fees are generally non-refundable except where required by law. Wallet funds remain active while the account remains active and may expire after account cancellation.

5. Contact Data & Messaging Consent

You represent and warrant that you have obtained all legally required consent before uploading, importing, or messaging any contact through Zivio.

SMS and MMS messaging must always be opt-in. Contacts must explicitly consent to receive communications from you. Attempts to bypass consent requirements or re-import unsubscribed contacts are strictly prohibited.

Zivio automatically enforces STOP, HELP, and opt-out compliance where applicable. Violations may result in suspension or termination.

6. Meta Platform Integrations

Zivio may allow users to connect Facebook Pages, Instagram accounts, or Meta advertising accounts to enable features such as automated responses, engagement monitoring, or advertising campaign management.

By connecting your Meta assets, you authorize Zivio to access and use certain information made available through Meta APIs in accordance with Meta Platform Terms and applicable developer policies.

Zivio may use authorized access to create, edit, manage, and report on advertising campaigns, audiences, ads, and related objects on behalf of the user.

Users may revoke Zivio's access to their Meta assets at any time through Meta Business Integrations settings or by disconnecting the integration within the Zivio platform.

Zivio does not sell or misuse Meta platform data and uses such data only to provide the functionality requested by the user.

7. Prohibited Activities

  • Sending spam, phishing messages, or deceptive communications
  • Uploading purchased or scraped contact lists
  • Harassment, abuse, or illegal activity
  • Attempting to bypass platform security controls
  • Automated scraping or extraction of platform data

8. Third-Party Services

Zivio relies on third-party service providers including hosting providers, messaging carriers, payment processors, analytics tools, and social platform APIs. These providers operate independently and their services are subject to their own terms and policies.

9. Intellectual Property

All software, technology, designs, and platform functionality are owned by or licensed to Zivio. Users retain ownership of their content, contact lists, and media uploaded to the platform.

10. Suspension & Termination

We may suspend or terminate accounts that violate these Terms, carrier rules, Meta platform policies, or applicable law. Termination does not entitle you to refunds.

11. Disclaimers & Limitation of Liability

The Platform is provided "as is" without warranties of any kind. To the maximum extent permitted by law, Zivio's total liability shall not exceed the amount paid by the user during the twelve months preceding the claim.

12. Governing Law

These Terms are governed by the laws of the State of Arizona. Any disputes must be resolved exclusively in courts located in Phoenix, Arizona.

Privacy Policy

This Privacy Policy describes how Zivio ("Zivio," "we," "us," or "our"), operated by Last Train to Juarez LLC, an Arizona limited liability company, collects, uses, stores, and protects personal information when you access or use our websites, applications, and services (collectively, the "Services").

Who We Are

Zivio is a platform that helps artists, venues, and other authorized users manage fan communications, digital marketing, audience engagement, and related promotional tools.

Information We Collect

  • Information you provide directly, including your name, email address, phone number, billing information, account credentials, and communications submitted through the Services
  • Fan contact information voluntarily provided by individuals who subscribe to receive communications from artists using the Zivio platform
  • Usage data, including IP address, browser type, device information, referring pages, pages visited, and interaction data
  • Cookies and similar technologies used to maintain sessions, improve functionality, analyze usage, and support security
  • Social platform data made available when a user connects a Facebook Page, Instagram account, or related Meta asset to Zivio

How We Use Information

  • To operate, maintain, and improve the Zivio platform
  • To authenticate users and manage accounts
  • To provide customer support and respond to inquiries
  • To deliver transactional, administrative, or service-related messages
  • To enable artists and other authorized users to communicate with fans by SMS, MMS, email, in-platform notifications, or similar channels
  • To monitor compliance with messaging consent and platform usage requirements
  • To support audience engagement, campaign management, and authorized marketing workflows
  • To protect the security, integrity, and availability of the Services
  • To comply with legal obligations and enforce our agreements

Meta Platform Data

If you choose to connect your Facebook Page, Instagram account, or other Meta-connected asset to Zivio, we may access certain information made available through Meta's APIs, subject to the permissions granted by the user and Meta's Platform Policies.

This information may include, as applicable, Page IDs, Page name, Page metadata, post metadata, comments, engagement data, advertising account information, audience information, and other data necessary to provide requested features such as automated comment responses, engagement monitoring, ad campaign creation, ad management, analytics, and related platform functionality.

Zivio accesses Meta platform data only as necessary to provide the functionality requested by the user. We do not sell Meta platform data. We do not use Meta platform data for any purpose not permitted by Meta's Platform Terms and Developer Policies.

Zivio uses Meta platform data only after the applicable user or business has authorized the connection of the relevant Page, account, ad account, or other Meta asset to the platform.

Advertising and Campaign Tools

If a user connects Meta advertising assets to Zivio, we may use authorized access to create, manage, edit, or report on campaigns, audiences, ads, and related advertising objects on behalf of that user. Zivio does not assume ownership of the user's Meta advertising assets and only uses such access to provide the services requested by the user.

SMS and MMS Messaging Consent

Individuals may subscribe to receive SMS or MMS communications from an artist or other sender using the Zivio platform by voluntarily providing their phone number and indicating consent where required.

Message frequency varies. Message and data rates may apply. Consent to receive messages is not required as a condition of purchase.

Recipients may opt out at any time by replying STOP to any message. For assistance, reply HELP or contact contact@zivio.live.

Contact Imports and Consent Compliance

Users of the Zivio platform may import contact information. Zivio requires compliance with applicable consent and messaging laws and may enforce additional safeguards, including confirmation or suppression procedures, before imported contacts can receive future communications. Attempts to bypass compliance safeguards may result in suspension or termination of access.

Sharing of Information

We do not sell personal information. We may share information only as reasonably necessary:

  • With service providers that help us operate the platform, such as hosting providers, analytics providers, messaging providers, and payment processors
  • With integrated platforms and APIs when directed or authorized by the user
  • To comply with law, regulation, legal process, or enforceable governmental request
  • To protect the rights, safety, security, or property of Zivio, our users, or others
  • In connection with a merger, acquisition, financing, or sale of all or part of our business, subject to applicable confidentiality and legal requirements

Third Party Service Providers

We use trusted third-party providers solely for the purpose of operating, maintaining, securing, and improving the Zivio platform. These providers are not authorized to use personal information for their own independent marketing purposes.

Data Retention

We retain personal information only for as long as reasonably necessary to provide the Services, comply with legal obligations, resolve disputes, maintain security, and enforce our agreements. Data retention periods may vary depending on the nature of the data and the purpose for which it was collected.

Data Security

We implement administrative, technical, and organizational safeguards designed to protect personal information against unauthorized access, disclosure, alteration, or destruction. However, no method of transmission or storage is completely secure, and we cannot guarantee absolute security.

Your Choices and Rights

Depending on your location and applicable law, you may have rights regarding access to, correction of, deletion of, or objection to certain uses of your personal information. You may also disconnect your connected social accounts or Pages from Zivio through the applicable platform settings or by contacting us.

Data Deletion Requests

If you would like to request deletion of your account data, personal information, or any Meta platform data associated with your use of Zivio, you may contact us at contact@zivio.live. Please include sufficient information for us to identify your account and process your request. We will review and process verified requests in accordance with applicable law and platform requirements.

Users may also remove Zivio's access to connected Facebook or Instagram assets through their Meta account settings, business integrations settings, or by disconnecting the integration within Zivio.

Children's Privacy

Zivio is not directed to children under the age of 13, and we do not knowingly collect personal information from children under 13.

International Users

If you access the Services from outside the United States, please be aware that your information may be transferred to, stored in, and processed in the United States or other jurisdictions where our service providers operate.

Changes to This Policy

We may update this Privacy Policy from time to time. Any changes will be posted on this page with an updated effective date. Your continued use of the Services after an update becomes effective constitutes your acceptance of the revised Privacy Policy.
